1.2 Our Services

We provide document processing services for mortgage brokers through our web-based platform ("Platform"). Our Platform enables users to process, extract data, and manage financial documents ("Services").

1.3 Agreement to Terms

By accessing or using our Services, you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these Terms, you may not access or use our Services.

2.1 Platform Access

We provide access to our document processing Platform via our website.

2.2 Service Availability

We will use reasonable endeavors to ensure the Platform is available with 95% uptime, measured monthly. Scheduled maintenance will be communicated in advance and is not counted as downtime.

2.3 Support

Our support team is available at jake@speedsheet.co.uk during regular business hours. We aim to acknowledge support queries within 24 business hours.

3.1 Subscription Fees

Our Services are provided on a subscription basis. Fees are specified in your subscription agreement and are payable in advance.

3.2 Payment Terms

All fees are exclusive of VAT and other applicable taxes. Payments are processed through Stripe, our third-party payment processor.

3.3 Changes to Fees

We reserve the right to modify our fees upon 30 days' written notice. You will have the right to terminate your subscription if you do not agree to such changes.

4.1 You agree to:

• Maintain the security of your account credentials
• Provide accurate and complete information
• Comply with all applicable laws and regulations
• Use the Services only for their intended purpose
• Ensure you have the right to share any documents you upload

4.2 You agree not to:

• Share your account credentials
• Attempt to reverse engineer the Platform
• Use the Services for any illegal purpose
• Upload malicious code or content
• Interfere with the proper operation of the Platform

5.1 Data Processing

We act as a data processor for any personal data contained within the documents you upload. Our processing activities are governed by our Data Processing Agreement and comply with UK GDPR requirements.

5.2 Data Storage

Documents uploaded to our Platform are stored indefinitely unless you contact us and request for the data to be deleted. Storage is provided through AWS and Supabase.

5.3 Security Measures

We implement appropriate technical and organizational measures to protect your data, including encryption at rest and in transit.

5.4 Data Usage and Analytics

6.1 Ownership and Proprietary Rights

We own all intellectual property rights in:

• The Platform and its underlying technology
• All algorithms and processing methods used within the Platform
• Any outputs, reports, analysis, or derivative works generated by the Platform
• Any improvements, modifications, or enhancements to our Services
• All aggregate data and insights derived from processed documents

You retain ownership of your original documents and data uploaded to the Platform. However, you acknowledge that any processing, analysis, or transformation of your documents within our Platform creates new intellectual property owned by us.

6.2 License to Use the Platform

We grant you a personal, non-exclusive, non-transferable, and non-sublicensable license to:

• Access and use the Platform for your individual business purposes until termination of these Terms
• Download and use reports and processed documents generated by the Platform for your business operations
• Store and maintain copies of reports and processed documents as required by your regulatory obligations

6.3 License to Use Your Data

You grant us a perpetual, non-exclusive, royalty-free license to:

• Process and analyze your uploaded documents to provide the Services
• Use your data to train our artificial intelligence models and improve our Services
• Create and use anonymized aggregate data derived from your documents
• Develop and enhance our processing algorithms using insights from your documents

6.4 Restrictions

You agree not to:

• Share your account credentials or permit others to access the Platform using your account
• Attempt to reverse engineer or decrypt any part of our Platform or Services
• Create derivative works based on our Platform, processes, or outputs
• Use our Services to create a competing product or service
• Remove or alter any proprietary notices or watermarks on reports or processed documents

6.5 Service Improvements

You acknowledge and agree that we may use patterns, trends, and insights derived from processing your documents to:

• Improve our document processing capabilities
• Enhance our artificial intelligence and machine learning models
• Develop new features and services
• Generate aggregate industry insights

6.6 Download and Usage Rights

While you may download and store reports and processed documents for your business purposes, you acknowledge that:

• All downloaded materials remain subject to these Terms
• The underlying processing methods and analysis remain our intellectual property
• You may not recreate or replicate our processing methods using downloaded materials
• You must maintain appropriate security measures for downloaded materials

6.7 Feedback and Suggestions

If you provide any feedback, suggestions, or recommendations regarding our Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback to improve our Services without any obligation to compensate you.

7.1 Limitation of Liability

Our total liability under these Terms shall be limited to the amount paid by you for the Services in the 12 months preceding any claim.

7.2 Exclusions

Nothing in these Terms excludes liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by law

8.1 Term

These Terms remain in effect until terminated by either party.

8.2 Termination

Either party may terminate these Terms:

• Immediately upon a material breach by the other party
• Immediately if the other party becomes insolvent

8.3 Effect of Termination

Upon termination:

• You will cease using the Services
• You will pay any outstanding fees
• You will have 30 days to download your data

These Terms are governed by the laws of England and Wales.

9.2 Amendments

We reserve the right to modify these Terms with 30 days' notice.

9.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

9.4 Force Majeure

Neither party shall be liable for any failure or delay due to circumstances beyond their reasonable control.
